HubBuyer Huaban Member Referral Program Terms

Referral, cashback, and cooperative promotion

Revision Date: August 20, 2026

Version: v1.0

Publication/Effective Date: Effective August 20, 2026 (on first publication, the effective date should match the publication date)

These Terms are entered into by and between the HubBuyer operator stated on this page ("HubBuyer," the "Platform," "we," or "us") and the individual or business that applies to join or uses the Huaban Member Referral Program (the "Referral Member" or "you"). "Huaban Member" means the Referral Member. By submitting an application, checking acceptance, using a referral link, QR code, or referral code, logging into the referral dashboard, or receiving rewards, you acknowledge that you have read and accepted these Terms.

Program Nature, Scope, and Agreement Relationship

The Huaban Member Referral Program identifies new customers or specified transactions referred by Referral Members and, when current rules are met, provides cash rebates, commissions, points, discounts, or other benefits. The Platform may set different programs by country, region, channel, user type, or campaign.

These Terms apply to application review, referral entry points, attribution, customer binding, reward calculation, settlement, promotional materials, account handling, and dispute resolution. These Terms supplement the HubBuyer Global Terms of Service. Matters not covered here are governed by the main terms; special matters concerning the referral program are governed by these Terms. When applying to join the Program, you should also read and confirm the HubBuyer Global Terms of Service, which will be shown on the application page.

Program pages, referral dashboards, reward descriptions, campaign pages, and special rules shown by the Platform before a referral occurs form part of these Terms. Variable parameters such as reward standards, attribution period, confirmation cycle, and settlement threshold are governed by the current rules applicable to the relevant referral or transaction.

Referral Members and the Platform are independent. The Program does not create employment, labor dispatch, partnership, franchise, investment, guaranteed return, fixed income, or exclusive agency relationship. Unless separately authorized in writing by the Platform, you may not assume obligations or bind the Platform in its name.

Rewards are based on real customer transactions, not the number or levels of other Referral Members developed. Referral Members may not charge others joining fees, training fees, deposits, or use the Program for pyramid recruitment, rebate schemes, or similar activities.

Eligibility, Review, and Accounts

Applicants must have full civil capacity; business applicants must act through authorized personnel. You must provide true, accurate, and complete name or business name, country or region, contact details, promotion channels, and other necessary information as required on the page.

The Platform may review applications based on channel quality, brand safety, account risk, business arrangements, and applicable law, and may refuse, restrict, or suspend participation. Unless otherwise required by law, the Platform need not disclose review logic that may weaken risk control, involve others' rights, or constitute trade secrets.

Each applicant may use only one referral account unless approved in writing by the Platform. Without Platform consent, you may not transfer, sell, rent, lend, or share your account, referral link, QR code, referral code, or reward eligibility. Businesses are responsible for actions of their authorized personnel under the account.

You must properly protect passwords, verification codes, referral entry points, and payment details. If theft, abnormal clicks, link leakage, or unauthorized operation is found, you must promptly notify the Platform through official channels. The Platform may take necessary restrictions during verification. Losses occurring before your notice reaches the Platform are borne by you unless caused by the Platform's fault.

Where reward settlement, tax, anti-fraud, payment, or applicable law requires it, the Platform may request identity, business authorization, payee account, or tax information. If materials are incomplete, expired, unverifiable, or inconsistent with the account holder, the Platform may delay confirmation or payment of related rewards.

Current employees, contractors, and close relatives of employees or contractors of the Platform and its affiliates may not join the Program unless approved in writing by the Platform.

Individuals or entities restricted by applicable sanctions laws, and applicants located in comprehensively sanctioned countries or regions, may not join the Program.

Referral Entry Points, Customer Binding, and Attribution

Referral Members must use exclusive links, QR codes, referral codes, or other entry points generated or recognized by the Platform. You may not delete, alter, hide, or hijack referral parameters, or use technical means to attribute visits or transactions without a real referral relationship to your account.

A referral relationship is determined by system records when the referred user completes the first valid registration or page-specified action through a valid entry point within the current attribution period. Attribution period, priority between referral codes and links, and first or last valid touchpoint follow the current program page. If the page does not state otherwise, the first valid binding record that can be reasonably verified applies.

The Platform does not guarantee creation or retroactive addition of a referral relationship if the referred user was already registered, had an effective contact relationship with the Platform or another partner, is you or an account controlled by you, used an invalid entry point, cannot be identified after cross-device use or parameter clearing, or completed the specified action outside the attribution period.

If multiple Referral Members claim the same user, the Platform may determine the single attribution by system logs, valid entry point, binding time, user confirmation, existing sales or cooperation records, and anti-fraud results, and may correct obvious errors. The same user or transaction does not generate duplicate referral rewards.

A referral relationship does not mean customer ownership, exclusive follow-up rights, or order agency rights. The Platform may directly contact, review, and serve referred users. Referred users may independently decide whether to register, purchase, or continue using HubBuyer.

Qualified Referrals, Qualified Orders, and Reward Status

A "Qualified Referral" requires that the referred user has a real and independent identity, registers or completes the specified action through a valid referral relationship, and meets the current program's requirements for new users, regions, service types, and timing. Existing users, self-referrals, arbitrage through affiliated accounts, false or bulk accounts, and persons expressly excluded on the page are not Qualified Referrals.

A "Qualified Order" is an order where the referred user purchases applicable HubBuyer services within the program period, makes true and full payment that is received, and the order remains valid after cancellation, refund, chargeback, dispute, and risk-control observation periods expire. Trials, gifts, abnormal discounts, duplicate payments, refunds, chargebacks, false transactions, or illegal orders are not Qualified Orders. For installment payments, including deposit plus balance, unless the current program states otherwise, only the service-fee portion actually received and confirmed is included in the reward base; the remaining portion is included after the corresponding payment is received and all other conditions are met. The risk-control observation period starts from receipt of the corresponding payment and will not exceed 90 days unless the Platform explains a necessary extension.

Rewards may take the form of a fixed amount, a percentage of net service fees actually received after discounts, refunds, and invoiced taxes required by law, points, coupons, member benefits, or other forms listed on the page. Unless the program page expressly includes them, product payments, advances, freight, insurance, customs duties and taxes, third-party fees, and refunded amounts are excluded from the reward base.

The dashboard may show statuses such as "estimated," "pending confirmation," "settleable," "settled," or "revoked." Clicks, registrations, bindings, orders, or estimated rewards are for progress tracking only and do not mean the Platform has a payment obligation. Rewards may be applied for only after they enter "settleable" or an equivalent confirmed status.

Member levels, upgrade conditions, reward ratios, applicable regions, commission periods, and whether renewal rewards are included are governed by the current program. Unless the page states otherwise, level adjustments do not retroactively increase rewards for earlier referrals. Continuing or renewal rewards arise only when the customer actually pays and forms a Qualified Order during the corresponding period, and do not guarantee fixed monthly income. Unless the current program states otherwise, the level and ratio for a single referral reward are determined by the rules in effect when that referral relationship is formed, and later level changes do not affect pending rewards for formed referrals.

Benefits, cashback, or discounts available to referred users are governed by the campaign page applicable at their registration or transaction. Whether different benefits may be combined is determined by the relevant campaign rules. Referral Members may not promise extra discounts or benefits without authorization.

Reward Revocation, Anti-Fraud, and Investigation

If a referral or order is cancelled, fully refunded, charged back, or invalidated, the corresponding reward may be fully revoked. If a partial refund, price reduction, or service scope reduction occurs, the Platform may adjust rewards according to actual net receipts or current rules.

Self-referral, mutual referral among affiliated accounts, fictitious customers, fake orders, cash-out schemes, duplicate attribution, identity misuse, bot or abnormal clicks, cookie stuffing, link hijacking, forced redirects, forged transactions, illegal marketing, or other improper methods generate no rewards. Rewards already generated or paid may be revoked, clawed back, or recovered.

The Platform may use account, device, network, referral entry point, order, payment, refund, complaint, and other reasonable information to identify abnormalities. During investigation, the Platform may suspend related links, customer status display, reward confirmation, or settlement, and require you to explain or submit necessary proof.

After investigation, the Platform will restore, adjust, or cancel related rewards based on verifiable records. To protect the system and other users, the Platform need not disclose algorithms, thresholds, complete evidence sources, or third-party confidential information that could be used to evade risk controls.

If a Referral Member objects to reward status or attribution, the member may submit the order, referral entry point, and other evidence through official channels within the objection period shown on the page. If no objection period is set, the objection should be raised within a reasonable time after discovery. The Platform may review within a reasonable or statutory period depending on complexity.

Settlement, Payment, Fees, and Taxes

After a Referral Member reaches the current minimum settlement amount and submits complete, true, and verifiable payee and required tax information, the member may apply for payment according to the settlement cycle and method shown on the program page. The Platform will complete payment within 60 days after rewards become settleable and settlement information is complete, except for reasonable delays caused by third-party payment channels, regulatory review, or supplemental materials. Rewards below the threshold may continue to accumulate, unless law, program termination, or account abnormality requires other handling.

Rewards are paid to an account consistent with the Referral Member's identity and supported by the Platform, or may be credited to a reward balance opened by the Platform. Reward balance may be used only for Program settlement or purposes allowed on the page. It is not a bank deposit, independent payment account, or wealth-management product, bears no interest, and may not be transferred without authorization.

Settlement currency, exchange rate timing, payment channel, bank fees, intermediary bank fees, currency exchange fees, and withdrawal fees are governed by the payment page or actual channel rules. Reasonable processing time caused by banks, payment providers, cross-border restrictions, supplemental materials, or regulatory review is not unreasonable Platform delay.

Referral Members are responsible for reporting, taxes, and professional fees related to rewards in their location. If the Platform must withhold, report, issue vouchers, or collect tax information under law, Referral Members must cooperate.

If, after payment, a refund, chargeback, duplicate payment, system error, fraud, or other invalid reason is discovered, the Platform may deduct the amount from future rewards or other due payments. Any shortfall must be returned by the Referral Member within the reasonable period stated in the notice. Except in cases of fraud, cheating, or illegality, the Platform must raise deduction or recovery of paid rewards within 180 days after the reward payment.

Promotion Conduct and Brand Use

Promotional content must be true, clear, and not misleading. Referral Members may not fabricate user experience or make unauthorized promises about product quality, price, delivery time, after-sales support, compensation, certification, income, reward amount, or other content beyond Platform pages and authorized materials.

Where applicable law requires it or the audience may not understand the relationship between the parties, Referral Members must clearly state near the referral content or link that they may receive HubBuyer rewards for referrals, and may not hide the paid relationship or disguise promotional content as an independent review.

For channels in the People's Republic of China that promote through experience sharing, consumer reviews, or similar forms with shopping links, the word "advertisement" must also be prominently marked under the Measures for the Administration of Internet Advertising.

Referral Members may not purchase, scrape, exchange, or use lists of unknown source; send bulk emails, SMS, or private messages without permission; repeatedly harass others; or use malware, pop-up hijacking, forced redirects, hidden frames, bots, auto-refresh, or other improper traffic methods.

Without written Platform permission, Referral Members may not register or use domain names, store names, social accounts, or identifiers identical or similar to HubBuyer or Huaban Member; impersonate official channels; place paid search ads containing Platform brand terms or common misspellings; or publish unauthorized promo codes.

Referral Members may not quote prices, sign contracts, collect payments, handle orders, decide refunds, or make guarantees on behalf of the Platform. They may not provide improper benefits to government personnel, customer employees, or others, or promote through illegal content, restricted goods, false reviews, infringing materials, or methods damaging Platform reputation.

The Platform may require Referral Members to explain promotion channels, adjust or remove non-compliant content, stop specific placements, or suspend related referral entry points and rewards. For serious, repeated, or potentially user, Platform, or regulatory risks, the Platform may take restrictions first and then verify.

Referral Members warrant that participation in the Program and receipt of rewards do not violate obligations owed to any third party, including employers or served companies. If a Referral Member is an employee, agent, or person involved in procurement decisions of a referred company, the member must truthfully disclose participation and possible rewards to that company before joining. Failure to disclose may cause the Platform to refuse, suspend, or revoke related rewards.

Intellectual Property, Confidentiality, and Customer Information

The Platform grants Referral Members a worldwide, cooperation-term, revocable, non-exclusive, non-transferable limited license to use trademarks, images, copy, links, QR codes, and promotional materials provided by the Platform solely under these Terms. Without permission, Referral Members may not materially modify, sublicense, sell, reverse engineer, or use them outside the Program.

Content created by Referral Members belongs to them or the relevant rights holder, but they must ensure they have required rights. To operate, review, and display the Program and handle complaints, audits, and disputes, Referral Members allow the Platform to copy, display, and retain relevant promotional content within the necessary scope. After cooperation ends, the Platform may continue necessary processing for already published content, evidence preservation, or legal obligations.

The member dashboard displays only user IDs, de-identified identity, binding time, applicable service status, Qualified Order status, reward calculation basis, and reward status needed to verify referrals and rewards. Unless the referred user actively requests assistance, performance requires it, or law requires otherwise, the Platform does not show product details, full contact details, payment information, delivery address, customs materials, or other unrelated information to Referral Members.

Referral Members may use information opened by the Platform only as necessary for the Program, and may not export, resell, disclose, externally divert, mass market, or use it for other purposes. Non-public Platform prices, rules, customer lists, risk-control methods, systems, and business materials are confidential information and may not be disclosed or used without authorization. During cooperation and for 12 months after it ends, Referral Members may not induce or assist referred users to bypass the Platform and directly establish similar transactions with suppliers learned through the Program. Breach may cause the Platform to revoke related rewards and claim compensation according to law.

Referral Members should invite users to register themselves through official links, QR codes, or referral codes. If they provide others' information to the Platform, they must ensure they are authorized, complete necessary notices, and submit only necessary content. Liabilities arising from unlawful collection, use, or disclosure of information by Referral Members are borne by them according to their conduct and fault. If a Referral Member learns that referred user information held or accessed by them has leaked or been misused, they must immediately notify the Platform and cooperate in remedial measures.

Account Restrictions, Exit, and Post-Termination Handling

If a Referral Member provides false information, account theft occurs, abnormal traffic exists, or the member engages in fraud, non-compliant promotion, infringement, harassment, data misuse, refusal to cooperate with necessary verification, or other breach of these Terms, the Platform may take risk-based measures such as reminders, function restrictions, link suspension, reward delay, freezing of related amounts, qualification termination, or recovery.

For serious illegality, fraud, security risk, repeated breaches, or situations that may expand losses, the Platform may immediately take necessary restrictions. Whether a rectification opportunity is provided in other cases will be reasonably decided based on impact, evidence, historical conduct, and applicable law.

Referral Members may stop promotion and apply to exit through official channels. After exit or termination, they must stop using referral entry points and Platform brands, and no new referral rewards will arise. Existing account, order, or service relationships between referred users and HubBuyer are unaffected.

If termination is due to Referral Member breach, cheating, or illegality, pending rewards and new transactions after termination generate no rewards. Confirmed or paid rewards may still be adjusted for refunds, chargebacks, cheating, errors, or lawful set-offs.

If the Platform terminates the Program due to business adjustment and the Referral Member has no breach, rewards confirmed before termination continue to settle under current rules. Referrals or orders formed before termination but not yet confirmed should still complete validity, refund, and risk-control review. Unless the termination notice or program page states otherwise, new orders or renewals after termination generate no rewards.

If a Referral Member exits voluntarily, referrals and orders formed before exit will complete validity, refund, and risk-control review under these Terms, and approved rewards will settle normally. If the Platform terminates the Program due to business adjustment, it will give 30 days' prior notice in a reasonable manner. Upon program termination or account closure, confirmed rewards below the settlement threshold will be paid together after lawful deductions. If a Referral Member dies or a business entity is deregistered, its lawful heir or liquidation obligor may claim confirmed rewards within 180 days with valid proof.

Program Changes and Service Availability

The Platform may adjust reward standards, applicable services, levels, attribution periods, observation periods, settlement thresholds, functions, or program scope for the future due to business, market, cost, function, payment channel, risk-control, or legal requirements, and publish the changes on the program page, dashboard, or other reasonable channels.

Adjustments apply to new referrals after effectiveness or later periods expressly stated on the page, and do not retroactively reduce confirmed lawful rewards, except for adjustments caused by refunds, chargebacks, cheating, duplicate payment, system errors, or legal requirements.

The Internet, cookies, cross-device identification, third-party platforms, banks, and payment channels may experience delays or interruptions. The Platform will reasonably maintain the Program, but does not guarantee continuous fault-free referral entry points, recognition of every referral, user registration or purchase, or any specific income for Referral Members.

For delays or interruptions caused by maintenance, network failure, third-party services, bank or payment processing, government or judicial requirements, force majeure, or causes not reasonably controllable by the Platform, the Platform is not liable beyond its fault to the extent permitted by law.

Liability Limitation and Referral Member Indemnity

To the extent permitted by law, the Platform is not liable for expected income, customer loss, goodwill loss, or indirect, incidental, or punitive damages. The Platform's cumulative liability for the Program is capped at the greater of the total rewards paid and confirmed payable to the Referral Member during the 12 months before the dispute or the equivalent of USD 100.

The foregoing limitation does not apply to the Platform's intent or gross negligence, unauthorized disposition of confirmed rewards, unlawful processing of personal information, or other liabilities that applicable law may not exclude or limit.

If a Referral Member's breach of these Terms, false or misleading promotion, unauthorized commitments or payment collection, intellectual property infringement, unlawful processing of others' information, spam marketing, or other illegal conduct causes the Platform evidence-supported direct losses, third-party claims, reasonable investigation and attorney fees, or legally imposed penalties, the Referral Member must indemnify the Platform within their scope of responsibility.

After reasonable notice, the Platform may set off amounts the Referral Member must lawfully return, indemnify, or bear against payable rewards. If disputed amounts, grounds, or legal requirements require separate handling, those rules apply.

Updates, Governing Law, Languages, and Contact

The Platform may update these Terms due to program, business, function, or legal changes. Updated Terms apply from the date stated on the page. If an update materially and adversely affects confirmed rewards or applicable law requires separate notice or renewed consent, the Platform will handle it as required.

If you do not agree to updates, you may stop participating in the Program. Continued use of referral entry points or obtaining new referrals after the update takes effect is deemed acceptance. Rewards formed before exit are handled under the provisions on validity and post-termination handling in these Terms.

These Terms are governed by the laws of the People's Republic of China. The parties should first negotiate through official channels. If the dispute is not resolved within 30 days from the start of negotiation, either party may file suit in the people's court with jurisdiction at the location of the HubBuyer operator. Mandatory jurisdiction or mandatory remedy rules required by law prevail.

The Platform may provide English, Japanese, or other language versions. If versions are inconsistent, the Chinese version prevails to the extent permitted by applicable law.

Questions about application review, referral attribution, rewards, settlement, or violation handling should be submitted through the cooperation contact channel stated on this page (cooperation email: [noreply@hubbuyer.com]). Personal information questions should be submitted through the channels listed in the HubBuyer Huaban Member Referral Program Privacy Policy and HubBuyer Global Privacy Policy.

Notices sent by the Platform to your reserved email, inbox messages, referral dashboard, or program page announcement are deemed delivered when sent or published. You must keep contact details valid.

If any part of these Terms is held invalid or unenforceable, the remaining provisions remain valid.

After these Terms terminate, provisions on confidentiality, intellectual property, reward recovery, liability limitation, indemnity, and dispute resolution continue to apply. Confidentiality obligations continue for three years after cooperation ends; for trade secrets, they continue until the information no longer legally constitutes a trade secret.

The Platform may transfer its rights and obligations under these Terms to its affiliates or an entity that succeeds to the relevant business through merger, acquisition, or reorganization, and will notify you in a reasonable manner.
